Cargill Acquires Agribrands

Cargill, Incorporated announced it has signed a definitive agreement with Agribrands International, Inc. under which Cargill will acquire all of the outstanding shares of Agribrands for $54.50 per share in cash, for an equity value of approximately $580 million.

Agribrands will be combined with Cargill Animal Nutrition to create an animal nutrition company with such prominent brands as Purina and Nutrena. The two businesses together operate a total of 178 plants in 26 countries and employ approximately 9,500 people worldwide. Cargill Animal Nutrition operates 108 feedmills in the United States and 18 other countries, while all of Agribrands' 70 feed production facilities are outside of the U.S. There is little overlap between the two businesses, and all existing Cargill and Agribrands direct sales and dealer networks will be maintained.
